Terms of Service.
Tabla Inc., a Delaware corporation, d/b/a Tabla ("Tabla", "we", "us"). Effective date: October 5, 2026. Contact: legal@worktabla.com.
These Terms of Service (the "Terms") govern access to and use of the Tabla service (the "Service") and the worktabla.com website. By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you use the Service for yourself, "Customer" means you, and you agree in your individual capacity. If you use it on behalf of an organization, you agree on its behalf, you represent that you have authority to bind it, and "Customer" means that organization. If you do not agree, do not use the Service.
1. The Service
Tabla brings together the mail, calendar and contacts Customer connects (today through our connectivity provider, for Google and Microsoft accounts), and optionally Slack. It ranks what needs attention, prepares drafts and summaries, proposes to-dos, and keeps notes on the people Customer works with. Some features use AI models to read connected content and produce this output.
- Customer-directed actions. The Service reads data from the sources Customer connects and, at a user's direction, takes actions in them — for example, actions a user performs in the product, actions taken under a standing instruction, and events created when an invitee books time through a link a user has published. Actions include sending mail a user sends, archiving, labeling, moving to trash, unsubscribing (which contacts the sender's unsubscribe address), and creating or changing calendar events (which notifies the attendees a user adds). Standing instructions include an away responder a user turns on and, unless a user turns them off, calendar buffers placed around meetings. Standing instructions operate on Customer's own account. The Service does not send a message unless a user sends it or has turned on a standing instruction that sends it. Applications a user builds may read public web pages and news feeds the user names. Actions the Service takes in a Connected Source are recorded in an action log available to Customer.Customer is responsible for the actions its users direct, including through standing instructions and published booking links, for reviewing content the Service drafts before sending it, and for booking pages its users publish and its relationship with invitees.
- Informational only — not professional advice. Output of the Service, including summaries, priorities, flags, figures, and drafts, is generated automatically, may contain errors, and is provided for informational purposes. It is not accounting, financial, tax, or legal advice. Customer is responsible for verifying output before relying or acting on it.
- Availability. Tabla may improve or modify features of the Service.
2. Accounts
Customer will keep registration information accurate and credentials confidential, and is responsible for activity under its accounts. Customer may use the Service for itself or for an organization. Users must be at least 18; by creating an account, a user confirms they are. The Service is offered only in the United States. Customer represents that it is located in, and will use the Service from, the United States. Tabla may suspend or terminate access if this representation is or becomes inaccurate.
3. Connected Sources
"Connected Sources" are third-party systems Customer chooses to connect. Customer authorizes Tabla to access them on Customer's behalf using the permissions Customer grants, and represents that it has the right to grant that access. Tabla accesses Connected Sources through service providers listed in the Privacy Policy. Customer may disconnect a source at any time; disconnecting deletes the records synced from it, as described in the Data Retention Policy. Connected Sources are governed by their own terms, and Tabla is not responsible for them.
4. Fees
The Service is currently provided without charge. If Tabla introduces fees, it will tell Customer at least 30 days before they apply, and nothing will be charged unless Customer chooses a paid plan.
5. Customer Data
"Customer Data" means data Customer submits to the Service or that the Service retrieves from Connected Sources on Customer's behalf, and output derived from it for Customer. As between the parties, Customer owns Customer Data. Customer grants Tabla a limited, non-exclusive license to host, process, transmit, and display Customer Data solely to provide and support the Service, to secure it, and to comply with law. Tabla does not sell Customer Data and does not use Customer Data to train machine-learning models. AI output is generated from Customer's content and may be wrong; review drafts and summaries before relying on them. Tabla may create and use data that is de-identified and aggregated so that it does not identify Customer or any individual, solely to operate, secure, and improve the Service; Tabla will not re-identify such data. For an organization that executes a Data Processing Addendum, the DPA governs processing of personal data within Customer Data and is incorporated into these Terms.
6. Acceptable use
Customer will not: use the Service in violation of law; send spam or bulk unsolicited messages through the Service; attempt to access another customer's data; direct an Application to read pages Customer is not permitted to access; use booking pages to collect information unlawfully; probe, scan, or test the vulnerability of the Service except with written permission; reverse engineer the Service except where permitted by law; resell the Service; or connect sources it has no right to connect.
7. Intellectual property; feedback
Tabla owns the Service and everything provided with it other than Customer Data. If Customer provides feedback, Tabla may use it without restriction or obligation.
8. Confidentiality
Each party will protect the other's non-public information with at least reasonable care, use it only as needed to perform under these Terms, and disclose it only to those who need it and are bound by comparable obligations, or as required by law with notice where lawful.
9. Security
Tabla maintains administrative, technical, and organizational safeguards, including encryption of Connected Source credentials at rest, encryption in transit, and per-account isolation enforced at the database layer.
10. Disclaimers
EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED “AS IS” AND TABLA DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TABLA DOES NOT WARRANT THAT OUTPUT WILL BE ACCURATE OR COMPLETE, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
11. Limitation of liability
NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUES. EACH PARTY'S AGGREGATE LIABILITY ARISING OUT OF THESE TERMS IS LIMITED TO THE GREATER OF THE FEES PAID OR PAYABLE BY CUSTOMER IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR US$100. THESE LIMITS DO NOT APPLY TO CUSTOMER'S PAYMENT OBLIGATIONS, EITHER PARTY'S BREACH OF SECTION 8, OR LIABILITY THAT CANNOT BE LIMITED BY LAW. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITS FOR CONSUMERS; THERE, THEY APPLY ONLY TO THE EXTENT THE LAW ALLOWS.
12. Indemnification
Customer will defend and indemnify Tabla against third-party claims arising from Customer Data, Customer's Connected Sources, or Customer's use of the Service in violation of these Terms. Tabla will defend and indemnify Customer against third-party claims that the Service, as provided by Tabla and used as permitted, infringes their intellectual-property rights. The indemnified party will promptly notify the indemnifying party of the claim, give it sole control of the defense and settlement (no settlement imposing obligations on the indemnified party without its consent), and reasonably cooperate at the indemnifying party’s expense. Tabla’s indemnity does not cover claims arising from Customer Data, from combinations with items not provided by Tabla, or from use in violation of these Terms.
13. Term; suspension; termination
These Terms apply while Customer uses the Service. Either party may terminate for material breach not cured within 30 days of notice. Customer may stop using the Service and delete its workspace at any time. Tabla may suspend the Service for security risk or misuse, with notice where practicable. Upon termination, Customer Data is deleted as described in the Data Retention Policy; Customer may export Customer Data before deletion.
14. General
These Terms are governed by the laws of the State of Delaware, without regard to conflicts rules. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association by a single arbitrator: under its Consumer Arbitration Rules where Customer is an individual using the Service for personal purposes, and otherwise under its Commercial Arbitration Rules, seated in Wilmington, Delaware, with judgment on the award enterable in any court of competent jurisdiction. An individual may opt out of arbitration by emailing legal@worktabla.com within 30 days of creating an account. BOTH PARTIES WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION. Either party may bring qualifying claims in small-claims court, and either party may seek injunctive relief in court for infringement or misuse of intellectual property or breach of Section 8. Tabla may update these Terms; for material changes it will give notice, and changes take effect when Customer accepts them in the Service or continues to use it after the notice period. Neither party is liable for delay caused by events beyond its reasonable control. Notices to Tabla: legal@worktabla.com. These Terms, the Privacy Policy, the Data Retention Policy, and, where executed, the Data Processing Addendum are the entire agreement.
15. Website use
The worktabla.com website is provided for information. Content on the site describes product behavior on sample data, not customer results, unless expressly stated otherwise. The disclaimers and liability limits above apply to the site.
